The Planet Smoothie “The Cupman’s Quest, Good for You. Good for the Planet.” Promotion (“Promotion”) is offered only to legal residents of the 50 United States ("U.S.") and the District of Columbia ("D.C.") who are at least the age of majority in their state of residence as of January 15, 2007, own a valid driver's license and have an acceptable driving record (at Sponsor’s sole discretion) and are located in the 50 U.S. (excluding Alaska) and D.C. at the time of entry. Do not participate in the Contest Portion (as defined below) of this Promotion if you are not a legal resident of, and located in, one of the 50 United States or D.C. at the time of entry and are available for participating in the duration of the 30-day tour, including two weeks of advanced training.

Promotion Period: The Promotion begins at 12:01:00 a.m. Eastern Time ("ET") on January 15, 2007 and ends at 11:59:59 p.m. ET on February 21, 2007 (the "Promotion Period"). .

Eligibility: The Promotion is open to legal residents of the 50 United States (except Alaska) and D.C., who are at least the age of majority in their state of residence as of January 8, 2007. Employees of Planet Smoothie Franchises, LLC ("Sponsor"), its franchisees and their respective employees, officers, directors, parent companies, subsidiaries, and affiliated companies, advertising agencies, promotional suppliers, or production agencies, and their respective IRS dependents, immediate family members (parent, child, sibling and spouse of each) and individuals residing in the same household, are not eligible to participate. Void in Alaska, Puerto Rico and other territories and possessions of the U.S., and where prohibited by law.

To Enter the Contest Portion: Beginning at 12:01:00 a.m. ET on January 15, 2007 through 11:59:59 p.m. ET on February 21, 2007, visit www.planetsmoothie.com and follow the online entry instructions for completing and submitting the online Contest entry form, including a video ("Video") under the following Contest guidelines (collectively, the “Contest Portion”): 1) The Video should show Sponsor why you feel you can fill the dynamic role of The Cupman, who will be embarking on a 30-day quest to find things that are "Good for You. Good for the Planet" (Note: it is not required to purchase or show actual Planet Smoothie's products in order for the Video to be eligible); 2) The Video must feature the Planet Smoothie logo in some form; 3) Please leave out any inappropriate language or random wardrobe malfunctions! We're crazy but not that crazy (Note: additional Video restrictions outlined below); 4) Get creative and have fun with it. The Video must be in a sharkle.com platform compliant format and the file size must be no larger than 100mb. No more than one entry shall be permitted per person in the Contest. Entrants may not enter the Contest with multiple email addresses or under multiple identities. Any entrant who does so, or uses any device or artifice to circumvent the Official Rules may be disqualified and all of their entries forfeited at Sponsor’s sole discretion.

Contest Judging: Contest Videos must be original and of entrant's own creation. Each eligible Video will be posted between January 15, 2007 and February 21, 2007 on the website at www.planetsmoothie.com ("Public Voting Period") and the general public will be asked to select their favorite video based upon personal preference. The top ten (10) entrants Videos to receive the most votes during the Public Voting Period by the general public will be deemed the finalists ("Finalist(s)"). In the event of a tie, the tying Videos will be judged by the panel of qualified judges based on the judging criteria below, and the entrant with the highest score will be deemed the Finalist. No more than 10 Finalists will be selected. The panel of qualified judges will then review the Finalists’ Videos, and select one (1) Grand Prize winner based upon the judging criteria set forth below. Decision of judges will be final in all matters related to this Promotion.

Contest Judging Criteria: The Finalist’s Videos will be based on the following judging criteria: creativity of content (49%); and, demonstration of the individual's ability to be funny, entertaining and creative in drawing attention to issues that speak to "Good for You and Good for the Planet" (51%). In the event of a tie between any two Finalists, the Finalist with the highest score in the demonstration of individual’s ability criteria will be deemed the winner.

Videos must:
(1) be the original work of the entrant; may not have won previous awards;
(2) may not have been published previously;
(3) must not infringe upon third-party rights, must be suitable for publication (i.e., may not be obscene or indecent);
(4) may not contain defamatory statements;
(5) may not invade privacy or other rights of any person, firm or entity;
(6) may not in any other way violate applicable laws and regulations; may not include the likenesses of any identifiable persons other than the entrant;
(7) may not contain any reference to any third party trademarks, names or third party logos; and may not contain any copyrighted works, including music "samples."
All Videos will be reviewed for content before being judged. Entries containing such prohibited content and/or otherwise deemed by Sponsor, in its sole discretion, to be inappropriate will be disqualified. Sponsor makes the final determination as to what Videos are eligible to take part in the Contest portion of this Promotion.

The Grand Prize winner will be chosen based on the judging criteria set forth in these Official Rules, and will be notified they are the winner, on or about February 25, 2007. The Grand Prize winner will be required to execute an Affidavit of Eligibility and Liability/Publicity Release and an affidavit that their entry is unique within 7 days of attempted notice or forfeit prize.

To Enter the Sweepstakes Portion: There are two ways to enter the Sweepstakes Portion of the Promotion: (1) each Contest entrant will automatically be entered in the Sweepstakes Random Drawing; or (2) each eligible person casting a vote during the Public Voting Period will be asked to complete and submit the official online Sweepstakes entry form along with their vote, and will then be entered in the Sweepstakes Random Drawing (collectively, the “Sweepstakes Portion”). Limit one Sweepstakes entry per person/email address.

Sweepstakes Random Drawing: A random drawing will be held on or about April 16, 2007 from among all eligible entries received for the Sweepstakes Portion of the Promotion. Limit one (1) prize per person/household. Odds of winning a Sweepstakes prize depends upon the number of eligible entries received.

Prizes/Approximate Retail Values (ARV): One (1) Contest Grand Prize – The leading role as The Cupman and The Daily Blogger. Prize includes: two (2) weeks training to be The Cupman and The Daily Blogger; The Cupman costume; a 4 ? week tour from March 16, 2007 through April 17, 2007 accompanied by a videographer and Planet Smoothie team member, consisting of a tour of the following cities: Orlando, Jacksonville, Savannah, Atlanta, Birmingham, Chattanooga, Clarksville, Bowling Green, Louisville, Cincinnati, Columbus, Dayton, Indianapolis, St. Louis, Springfield, Tulsa, Okalahoma City, Amarillo, Albuquerque, Phoenix, and San Diego; $500 per week during the training period and tour; food and hotel accommodations (standard room); transportation in an eco friendly vehicle for the five (5) weeks of the tour; additionally, at the conclusion of a completed tour, the winner will have the option of choosing: a check for $5,000; or, a Planet Smoothie franchise. If winner chooses the Planet Smoothie franchise, winner will receive a consists $25,000 franchise fee waiver custom with the purchase of a Planet Smoothie franchise. ARV: $35,435.00 (franchisee option) or $12,935.00 (cash option). (The ARV depends on which option the Grand Prize winner chooses. Any difference between the actual value of the Grand Prize and the stated ARV will not be awarded). Dates and accommodations subject to change at Sponsor’s sole discretion. Any fees or costs incurred by Grand Prize winner not specifically set forth herein will be the sole responsibility of winner. If winner chooses the franchise option, winner will be responsible for the costs associated with building and stocking the Planet Smoothie franchise, and will be required to enter into a Franchise Agreement prior to opening the franchise. General Conditions: Sponsor and its respective agencies are not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed telephone or computer hardware or software or other technical failures, unauthorized human intervention, garbled or jumbled transmissions or other errors of any kind, whether human, mechanical or electronic, including without limitation, the incorrect or inaccurate capture of entry information online, regardless of cause. All Internet access and use charges are the responsibility of the entrant. Once submitted, entries (including the Videos) become the exclusive property of Sponsor and will not be acknowledged or returned. Any use of robotic, automatic, programmed or like entry methods will void all entries affected by such methods and be deemed tampering. Entry material/data that has been tampered with or altered is void. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND IF SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION. Sponsor reserves the right, at its sole discretion, to cancel/suspend/modify this Promotion in whole or in part for any reason, including without limitation, if the Contest or Sweepstakes Portion of the Promotion cannot be conducted as originally planned. In case of dispute as to identity of a winner who entered online, entry will be declared made by the registered user of the e-mail account, and, if a prize is won and such registered user is a valid entrant, the prize will be awarded to the registered user. Sponsors are not responsible for posting, printing, distribution, or production errors and may rescind, cancel or revoke the Contest or Sweepstakes Portion of the Promotion based upon any such error without liability at its sole discretion. Sponsors will not be responsible to award prizes in excess of the number (or value amounts) of prizes listed in these Official Rules. If a prize becomes unavailable, Sponsor reserves the right to substitute a prize of equal or greater value. No prize transfers, substitutions or cash equivalents except at the sole discretion of the Sponsor. Sponsor reserves the right, in its sole discretion, to disqualify any entry at any time in the event it is determined that the entrant has not complied with these Official Rules.

Neither Sponsor, its franchisees, nor their respective agencies, or affiliates are responsible for lost, late, damaged, destroyed, delayed, stolen, misdirected, or incomplete entries. By participating in this Promotion, entrants accept and agree to these Official Rules and the final judging criteria and results that will determine the winners. By participating, each winner agrees to allow use of his or her name, likeness, submitted Video, and/or photograph for inclusion in the winner’s list, if applicable, and advertising this or similar Promotions (including posting of first name and last initial on the web) without compensation, approval, notice, or review unless prohibited by law.

By submitting a Video, entrants hereby, upon submission, assign all rights, title and interest in and to the Video to Sponsor, including copyright, so that Sponsor may use the video in any and all media now known or hereinafter developed without territorial or time limitations.

Unless prohibited by law, Grand Prize winner is required to complete, sign and return an Affidavit of Eligibility, a Liability Release and Publicity Release within 5 days of notification, as well as a formal written assignment of any and all intellectual property rights in the Video, including copyright, to Planet Smoothie Franchises, LLC ("Sponsor"). If documents are not returned within the 5 day time period, or if prize is returned as non-deliverable, or if winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited or in Sponsor's sole discretion, may be awarded to an alternate winner selected by Sponsor. All federal, state and local taxes are the sole responsibility of winner. All federal, state and local laws and regulations apply. Participants, by participating in this Promotion, hereby waive and release, and agree to hold harmless the Sponsor, Sponsor's franchisees, and their respective parents, subsidiaries, affiliates, distributors, licensors, advertising and promotion agencies and all of their respective officers, directors, employees and representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and /or property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of any prize, or their participation in this Promotion, or any prize-related, Promotion-related activity. Each entrant agrees that (1) any and all disputes, claims and causes of action arising in connection with this Promotion, or any prizes awarded, shall be resolved individually and without any resort to any form of class action, and any judicial proceedings shall take place in the state or federal courts within the state of Georgia, U.S.; (2) any and all claims, judgments, or awards shall be limited to actual out-of pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys fees; and (3) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to, any punitive, incidental and consequential damages, and any other damages other than the actual out-of-pocket costs incurred. All issues and questions concerning the construction, validity, interpretation and enforceability of these rules of the rights of the entrant in connection with this Promotion, shall be governed by, and construed in accordance with laws of the State of Georgia, U.S. without giving effect to its principles of conflicts of laws.
